My HOA hasn't had annual meetings for 2 yrs

No one wants to be on the board, so one guy and the management company handle everything.  I've been on the board before and don't really want to do that again.  I think things are managed in an okay (not great) fashion, but I'm worried about not having annual meetings.  Is it worth creating a fuss about or should I just keep quiet since I'm not really willing to serve on the board.  Just wondering what others think.

I know all too well that it is hard to run things when nobody wants to contribute their time and efforts to help things run smoothly. If there is only one member on your board and the management company, he probably feels that due to lack of interest on the association members' parts and as long as there are no complaints, why even bother with an annual meeting because probably very few would show up anyway. Putting together an annual meeting is time consuming and really not appreciated by any of the members. Our board is of the mindset now that if we get any complaints about anything, then get on the board and help make major decisions. If you are not willing to give of your time, then you have no right to complain about anything. There are no association police to make sure these associations are run properly and correctly. But any major decisions do need to be voted on by the entire association, not just the board members, and that can cause legalities you have no idea about. Been there!

forth on it for a while. I was on the board for a couple of years, but I hated having to make decisions that affected everyone else in the community. We had several years of annual meetings without a quorum, but I always found it helpful to find out what was being done and why. I've talked to a few other neighbors who also miss having them. Also, I worry that we are going to get in some sort of legal bind if we stop having annual meetings altogether. Not sure what happens if the association just sort of ceases to exist. Part of our HOA dues covers water, garbage, and sewer, so it is not just a matter of getting the grass mowed.

it sounds like your association has pretty much ceased to exist. Of course, according to the bylaws that should have been put in place when it was constructed, that is not legal, but since there is no entity that I am aware of that regulates this type of thing, if a number of association members are concerned about where the money is being spent, etc., you could always contact the State legislature and ask for an audit of the records. This would bring a lot of things to light. Personally I would be frightened by the fact that only one person is "running things" and making decisions on where the dues are being spent. This happened with us just before I came onto the board and it was a one person free for all, spending money where she wanted it and to help herself to funds that were not hers to help herself to. We basically had a "board revolution" and at that time, because the association was so upset by the actions of one, there were a number of us who joined the board at that time. It took us MONTHS and MONTHS and multitudes spent on attorney fees to get everything straightened out. It was not fun, by any means! Now that things are smooth again though, some have left the board and we are having difficulty replacing them. I just do not understand why those who belong to an HOA are not concerned about where and how their money is being spent and by whom. There are more things than just the monthly bills involved. I could tell you some scarey things going on in unsupervised HOAs for sure! I would be more than concerned if I were you.
